We assisted Lispa Holding S.L. to acquire the major shipping and fishing company UAB Baltlanta
Lispa Holding S.L. is a Spanish international fisheries and vessel ownership company. We assisted it to acquire 100% of shares in Baltlanta UAB from the Panamanian companies Cosaco Noval Enterprises and Vapores Nauticos Merrimack. UAB Baltlanta is one of the largest Lithuanian ship owners and is a major holder of EU quotas for fishing in the Atlantic Ocean off the coast of Mauritania. We performed legal due diligence, drafted the share purchase agreement, modified ship pledges, consulted the client on fishing quota regulations and assisted with all other Lithuanian legal matters.
We advised in a ground-breaking energy deal with Chevron
Our team advised Lithuanian oil extraction company TAN Oil and its shareholders Jylland Olie Aps (Denmark) in the sale of 50 % shares in LL Investicijos to Chevron, the third-biggest energy company in the world. We advised on the planning and structuring of the entire deal, including tax matters.
Our team advised on the development of strategic energy infrastructure of the Baltic region
These strategic projects involved the development of new power connections and the strengthening of the electricity transmission grid which will allow all Baltic States to join the Western European Electricity System and increase the security of energy supply. They will also ensure the potential for energy exports and imports in Europe. The infrastructure included power connection projects with Sweden and Poland and the development of a liquified natural gas (LNG) terminal in Klaipeda seaport.
We assisted our clients in negotiation and conclusion of complex agreements involving sophisticated technologies. We also contributed to the implementation of the projects by successfully defending their legality and urgency in the courts. Our input to the new case law will serve for the development of all infrastructural projects in Lithuania.
